Terms & Conditions

These Terms of Service (the "Terms") govern your access to and use of any website, application, marketplace, smart contract interface, application programming interface, or other digital platform operated or made available by GETLIQUIDIO ("GETLIQUIDIO," "we," "us," or "our"), as well as any services, features, digital assets, communications, or content provided on or through such platforms (collectively, the "Platforms" and the "Services").

By accessing or using any Platform or Service, you agree to be bound by these Terms and all policies referenced herein.

We may revise these Terms from time to time in our sole discretion. All changes are effective upon posting. Your continued use of the Platforms or Services after changes are posted constitutes acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

You may not use the Platforms or Services if you are unable to form a legally binding contract, if you are subject to U.S. sanctions or embargoes, or if you do not agree to these Terms in full.

Any translated version of these Terms is provided for convenience only. The English version controls in the event of a conflict.

1. Introduction

1.1 Service Offering

GETLIQUIDIO operates digital platforms that may include blockchain-based functionality, non-fungible tokens ("NFTs"), informational content, platform tools, and other digital services. Certain NFTs may be created, offered, or made available through third-party marketplaces or directly through our Platforms, subject to these Terms and any applicable third-party terms.

NFT holders may be permitted to access features, content, or additional functionality as determined by GETLIQUIDIO from time to time.

1.2 Third-Party Terms

Certain Services may rely on or integrate with third-party platforms, including NFT marketplaces, blockchain networks, wallet providers, analytics providers, communications tools, or verification services. Your use of such third-party services is subject to their Terms. GETLIQUIDIO does not control and is not responsible for third-party platforms or services.

1.3 Lawful Use

You agree to use the platforms and services only for lawful purposes and in compliance with applicable laws and regulations. You may not use the platforms in a manner that infringes the rights of others or interferes with their use of the Services.

1.4 Restriction

You may not, and may not permit others to:

Modify, reverse engineer, or create derivative works of the Platforms or Services.
Use the Platforms to build competing products.
Redistribute, sublicense, lease, sell, or exploit the Platforms without written permission.
Access unauthorized areas of the Platforms.
Use automated scraping, bots, or similar technologies.
Interfere with security, performance, or functionality.
Introduce malicious code or attempt unauthorized access.

1.5 Suggestions

Any suggestions or feedback you provide may be used by GETLIQUIDIO without restriction or compensation. All such submissions become the exclusive property of GETLIQUIDIO.

1.6 No Support or Guarantees

GETLIQUIDIO is not obligated to provide support, maintenance, or uptime guarantees. Use of the Platforms is at your own risk.

1.7 Duration

These Terms apply for as long as you access or use the platforms or services.

2. Services and Additional Terms

2.1 Services

Services may include access to NFTs, platform features, informational content, blockchain-based functionality, and other offerings made available from time to time.

2.2 Third-Party Marketplaces

NFTs may be acquired through third-party marketplaces. GETLIQUIDIO is not responsible for third-party marketplace operations, pricing, custody, or transaction execution.

2.3 Intellectual Property Retention

All intellectual property rights associated with NFTs, Platforms, and related content remain with GETLIQUIDIO or its licensors, except for limited license rights expressly granted in these Terms.

3. Accounts and Security

3.1 Accounts and Wallets

You may be required to create an account or complete identity or compliance checks to access certain Services. GETLIQUIDIO does not provide custodial wallets. You are responsible for securing your wallet and credentials.

3.2 Accuracy of Information

You represent that all information you provide is accurate and not misleading. GETLIQUIDIO may request verification at any time.

3.3 Security Risks

Blockchain technologies involve inherent risks. GETLIQUIDIO is not responsible for losses due to wallet compromise, user error, blockchain failures, or third-party services.

3.4 Third-Party Infrastructure

You expressly release GETLIQUIDIO from liability arising from third-party blockchains, wallets, marketplaces, infrastructure, or service providers.

4. NFTs

4.1 License to Related Content

NFTs may be associated with digital content ("Related Content"). Ownership of an NFT grants a limited, revocable license to use the Related Content for personal, non-commercial purposes, subject to these Terms.

4.2 Restrictions on Use

You may not modify, commercialize, sublicense, or misuse Related Content or Embedded IP, or use it in a way that implies endorsement or violates laws or third-party rights.

4.3 No Fractionalization

You may not fractionalize, separate, or decouple NFTs or Related Content.

4.4 No Guaranteed Value

NFTs have no guaranteed value and may fluctuate based on market conditions. Legislative or regulatory changes may impact NFTs.

4.5 Transferability

NFTs may be transferred in compliance with applicable laws and marketplace rules. Upon transfer, all associated license rights terminate.

4.6 Consumer Use Only

All NFTs are intended for consumer use and access purposes only. NFTs are not securities or investment contracts under U.S. Federal or state securities laws.

5. SMS & A2P Communications

5.1 SMS Consent

By providing your mobile number, you consent to receive automated SMS messages from GETLIQUIDIO regarding products, services, updates, and promotions. Message and data rates may apply.

5.2 Opt-Out

You may stop receiving messages at any time by replying STOP to any SMS. For assistance, reply HELP or contact support@getliquid.io.

5.3 No Third-Party Marketing

Your mobile number and opt-in data will not be sold or shared with third parties for marketing purposes. Sharing is limited only to service providers necessary to deliver SMS services (e.g., SMS gateways).

5.4 Frequency

Message frequency may vary based on subscriptions, campaigns, or account activity.

6. Giveaways

GETLIQUIDIO may conduct giveaways at its discretion. Participation does not guarantee future benefits or value.

7. Airdrops

NFT holders may be eligible for airdrops. Airdrops are discretionary and may have no value.

8. Personal Data

Your use of the Platforms is subject to our Privacy Policy located at https://www.getliquid.io/privacy-policy.

By using the Platforms, you consent to data processing as described therein.

9. Intellectual Property

All Platforms, content, trademarks, and intellectual property are owned by GETLIQUIDIO or its licensors. No rights are granted except as expressly stated.

10. Disclaimers

The platforms, services, and digital assets are provided "as is" and "as available" without warranties of any kind. GETLIQUIDIO disclaims all implied warranties to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless GETLIQUIDIO and its affiliates from claims arising from your use of the Platforms or violation of these Terms.

12. Limitation of Liability

To the maximum extent permitted by law, GETLIQUIDIO shall not be liable for indirect, incidental, consequential, or punitive damages. Total liability shall not exceed the greater of $100 or amounts paid by you in the prior 12 months.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware.

All disputes shall be resolved by binding arbitration in Las Vegas, Nevada, under AAA rules. You waive any right to participate in class actions.

14. General

These Terms constitute the entire agreement between you and GETLIQUIDIO. If any provision is found unenforceable, the remainder remains in effect. Liquid may assign these Terms without restriction.
